TERMS & CONDITIONS
The following clauses apply to this agreement (November 6th, 2020):
1. The starting date of the service is indicated on your invoice.
2. You acknowledge that any and all Intellectual Property rights such as patents, trademarks, copyrights, trade secrets, designs, etc. relating to the Celpax are and shall remain the exclusive property of Celpax, including any new developments that may be introduced during the use of the Celpax devices.
3. You agree that you will not at any time during or after the expiration or termination of this Agreement obtain any ownership interest in the Products or any related intellectual property of Celpax, including without limitation any trademark interests, or in any way question or dispute the ownership thereof by Celpax.
4. Celpax will NEVER disclose any details or results regarding your use of our services without your prior written consent.
In addition, Celpax will not use your data or results of use of the Celpax in any way detrimental to you. You hereby grant Celpax a worldwide, non-exclusive, royalty-free license to use, reproduce, electronically distribute, transmit, have transmitted, perform, display, store, archive, and index the Customer Data in order solely to provide the Services. Any other use will entitle you to immediately terminate this Agreement seeking all remedies available.
5. The pricing includes the monthly or yearly rental of all the hardware (and replacements when necessary), dashboard access and reporting. Discounts might apply, and hey we offer a 90-days money-back-guarantee*! We don’t accept cheques.
- The solution is provided “AS IS” without any warranty, express or implied of any kind.
- Either party can terminate this agreement with 30 days notice to the other party, however, clauses 2 and 3 will survive termination of this agreement. This agreement will automatically renew at the end of each term for a further identical term unless either party gives the other written notice of termination at least 30 days prior to the end of the relevant term.
- We will arrange for the equipment to be sent back if you cancel the service.
- This Agreement is governed by the laws of Sweden.
- Both parties agree to cooperate in good faith.
- Mini plan: we send one per company max. No repeats.
6. When paying with card: You authorise Celpax AB to send instructions to the financial institution that issued your card to take payments from your card account in accordance with the terms of your agreement with us. I.e., one-time (i.e. shipping, Rollout Package) or recurring fees (i.e. the Celpax device).
7. You agree to use our system for the sole purpose of IMPROVING your workplace. You agree to respect the privacy of your employees in relation to the Celpax system.

- The condition is that you give it an honest try: that you install according to our instructions and unlock your Mood KPI (normally 45 days). This way we know you have properly tested it. If it doesn’t fit your organization you get your money back once the devices have been returned.
